End User License Agreement

This Agreement is a legal contract between you ("User," "you," or "your") and Siere Soft Ltd, a company registered in the Republic of Bulgaria ("Siere," "we," "us," or "our"), governing your use of the Siere platform, website at siere.ai, APIs, SDKs, middleware, documentation, and all related services (collectively, the "Service").

1. Definitions

• "Service" means the Siere Agent Experience Optimization platform, including the website, dashboard, APIs, SDKs, middleware components, and all features accessible through your account.
• "Agent Visibility Score" means the numerical score (out of 100) that Siere calculates to measure how effectively your website communicates with AI agents.
• "Content Definitions" means the structured data and metadata configurations you create within Siere to optimize how AI agents interpret your website content.
• "AI Agent Traffic" means HTTP requests to your website originating from automated AI systems, including but not limited to GPTBot, ClaudeBot, and similar crawlers.
• "Your Data" means all data, content, and information you provide to or generate through the Service, including website configurations, Content Definitions, and audit results.

2. License Grant

Subject to your compliance with this Agreement and payment of applicable fees, Siere grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

This license does not include the right to sublicense, resell, redistribute, or white-label any part of the Service unless you are enrolled in an authorized Siere agency or reseller program under a separate written agreement.

3. Account and Access

3.1 Registration

You must create an account to use the Service. You agree to provide accurate and complete registration information and to keep it up to date. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

3.2 Eligibility

You must be at least 16 years old and have the legal capacity to enter into this Agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to this Agreement.

4. Subscription Plans and Payment

4.1 Billing

Paid subscriptions are billed in advance on a monthly basis through Stripe. The one-time setup fee for the Pro plan is charged at the time of subscription activation. All fees are stated in US Dollars unless otherwise agreed.

4.2 Automatic Renewal

Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through the dashboard. Cancellation takes effect at the end of the current billing period — no prorated refunds will be issued for partial months.

4.3 Price Changes

We may adjust pricing with at least 30 days' advance notice. Price changes take effect at your next renewal. If you do not agree with a price change, your remedy is to cancel your subscription before the new pricing applies.

4.4 Taxes

All fees are exclusive of applicable taxes (including VAT). You are responsible for all taxes associated with your use of the Service, except for taxes based on Siere's net income.

5. Acceptable Use

You agree not to:

• Use the Service to interfere with, disrupt, or manipulate AI agent crawling behavior in ways that violate the policies of the AI agent operators
• Provide false, misleading, or deceptive Content Definitions intended to manipulate AI agent outputs
• Reverse-engineer, decompile, or disassemble any part of the Service
• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our infrastructure
• Use the Service to distribute malware, spam, or engage in any illegal activity
• Resell, sublicense, or share access to your account with third parties without authorization
• Use the Service in a manner that imposes an unreasonable load on our infrastructure
• Scrape, data-mine, or extract data from the Service beyond what is provided through authorized features and APIs

Violation of these terms may result in immediate suspension or termination of your account.

6. Intellectual Property

6.1 Siere's IP

The Service, including all software, algorithms, scoring methodologies, user interfaces, designs, trademarks, and documentation, is and remains the exclusive property of Siere Soft Ltd. Nothing in this Agreement transfers ownership of any Siere intellectual property to you.

6.2 Your Data

You retain all rights to Your Data. By using the Service, you grant Siere a limited, non-exclusive license to process Your Data solely for the purpose of providing and improving the Service. We will not use Your Data for any other commercial purpose without your consent.

6.3 Feedback

If you provide suggestions, feature requests, or other feedback about the Service, you grant Siere a perpetual, royalty-free, irrevocable license to use and incorporate that feedback into the Service without any obligation to you.

7. Data Processing and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into this Agreement by reference. Where you use the Service to process data on behalf of your website's visitors, you acknowledge that you are the data controller for that data and Siere acts as a data processor. You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including the GDPR.

8. Service Availability and Support

8.1 Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice of planned maintenance where feasible.

8.2 Support

Support is provided according to your plan tier. The Starter (free) plan includes community support only. Pro and Enterprise plans include email support with response targets defined in the applicable plan documentation.

9. Limitation of Liability

In no event shall Siere be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service, even if Siere has been advised of the possibility of such damages.

Siere's total aggregate liability to you for all claims arising under or related to this Agreement shall not exceed the total fees you paid to Siere in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred euros (€100), whichever is greater.

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify and hold Siere harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of this Agreement, your Content Definitions, or your violation of any third-party rights.

11. Term and Termination

11.1 Term

This Agreement is effective from the date you create your account and continues until terminated by either party.

11.2 Termination by You

You may terminate this Agreement at any time by canceling your subscription and deleting your account through the dashboard.

11.3 Termination by Siere

We may suspend or terminate your account immediately if you breach this Agreement, fail to pay applicable fees, or if we are required to do so by law. We may also discontinue the Service with 90 days' advance notice.

11.4 Effect of Termination

Upon termination, your license to use the Service ends immediately. You may request an export of Your Data within 30 days of termination. After that period, we may delete Your Data in accordance with our data retention policies. Sections 6, 9, 10, 12, and 13 survive termination.

12. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Republic of Bulgaria, without regard to its conflict-of-law provisions. For EU consumers, this does not deprive you of the protection afforded by mandatory provisions of the law of your country of residence.

Any dispute arising out of this Agreement shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the competent courts of Sofia, Bulgaria. EU consumers may also file a claim in the courts of their country of residence and may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13. General Provisions

13.1 Entire Agreement

This Agreement, together with the Privacy Policy and any plan-specific terms, constitutes the entire agreement between you and Siere regarding the Service, superseding all prior agreements and understandings.

13.2 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions remain in full force and effect.

13.3 Waiver

Failure by Siere to enforce any provision of this Agreement shall not constitute a waiver of that provision or the right to enforce it later.

13.4 Assignment

You may not assign or transfer this Agreement without our prior written consent. Siere may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.

13.5 Modifications

We may modify this Agreement by posting the revised version on siere.ai and notifying you by email at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance. If you do not agree, you must stop using the Service and cancel your subscription.

14. Contact Us

This End User License Agreement is governed by the laws of the Republic of Bulgaria and applicable European Union regulations. By using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
